💢 درگیر کیسی هستیم به این شرح:
۱. یکی از شرکت های خارجی با یکی از شرکت های #خودرو_سازی#ایران، مشغول همکاری بوده است؛
۲. شرکت خارجی به خاطر جنگ ۱۲روزه، نوتیس Temporary Suspension به شرکت ایرانی زده است؛
۳. در قرارداد، فقط یک‌بار برای ۳۰ روز، مجاز هست که #Suspension اتفاق بیافتد و الان بعد از گذشتن این سی روز، وضعیت قرارداد مشخص نیست؟ آیا قرارداد، هنوز Suspend هست یا خیر؟ با توجه به اینکه شرکت خارجی هم هیچ پاسخی نمی دهد؛
۴. #پاسخ: طبق اصل بقای قرارداد، Suspension قرارداد استثناست و با گذشتن ۳۰ روز از تعلیق، بقای قرارداد #استصحاب می شود و شرکت خارجی بایستی به تعهدات قراردادی خود برگردد در غیر این صورت #Matrial_Breach صورت گرفته است و شرکت خودروسازی ایرانی می تواند از ضمانت اجراهای قراردادی استفاده کند.

💢 We are currently handling a case with the following details:
• A foreign company has been cooperating with an Iranian #automotive_company.
• Due to a 12-day war, the foreign company issued a Temporary Suspension Notice to the Iranian party.
• Under the contract, only one #suspension period of up to 30 days is permitted. Now that the 30-day period has passed, the contractual status is unclear: Is the contract still under suspension or not?
• Response: Based on the principle of the continuity of contracts, suspension is deemed an exception. Upon the expiration of the 30-day suspension period, the continuity of the contract shall be presumed. Therefore, the foreign company is required to resume performance of its contractual obligations. Otherwise, this would constitute a material breach, entitling the Iranian automotive company to invoke contractual remedies.
